Terms of Service

1. Who we are

Nezmaro is operated by ASMY Co. ("we", "us"). You can reach us at support@nezmaro.com. By creating an account or purchasing a subscription you agree to these terms.

2. The service

Nezmaro is a subscription service that provisions and operates a dedicated ERP instance for your company, powered by the open-source ERPNext engine, reachable at a subdomain of nezmaro.com. Each customer receives an isolated instance with its own database.

3. Accounts

You must provide accurate information when registering and keep your credentials confidential. You are responsible for activity under your account and for the users your designated administrator creates inside your ERP instance.

4. Billing

Subscriptions are sold and billed by Paddle, our Merchant of Record. Paddle handles payment processing, applicable VAT/sales tax, invoicing and refunds; Paddle's buyer terms apply to every purchase. Subscriptions may start with a free trial: your payment method is saved at checkout and first charged when the trial ends, unless you cancel before then. Subscriptions renew monthly until canceled. You can cancel at any time; cancellation takes effect at the end of the trial or paid period.

5. Plans and limits

Each plan defines limits (such as number of users and storage). To upgrade or downgrade, contact us at support@nezmaro.com; your card, invoices and cancellation are self-serve from the Billing page in the control panel; changes are prorated by Paddle where applicable.

6. Acceptable use

• No unlawful, infringing or fraudulent content or activity.
• No attempts to breach tenant isolation, probe or disrupt the infrastructure.
• No reselling of the service without our written agreement.

We may suspend accounts that violate these rules, after notice where practicable.

7. Your data

The data you and your users enter into your ERP instance belongs to you. We take automated backups of tenant instances.

If your subscription ends, your instance is locked, not deleted: sign-in is disabled, nothing is removed, and we continue to back it up for a grace period of 30 days from the day it ends, or, where it ends after a failed payment, until the later of 30 days after that failed payment and 7 days after it ends (section 8). Restarting your subscription within that period restores access to the same instance and the same data. At the end of the grace period we take a final backup and remove the instance; that backup is retained for 90 days, during which you may request an export, after which it is deleted.

8. Non-payment

If a renewal payment fails, your instance is temporarily locked while Paddle retries payment: the site shows a maintenance page and sign-in is disabled. Nothing is deleted while Paddle is still retrying, and access is restored automatically as soon as payment succeeds. If payment is not recovered and the subscription ends, the instance is removed under the termination process in section 7, but never sooner than 30 days after the failed payment and never sooner than 7 days after the subscription ends; we email you the removal date when it ends.

9. Availability and support

We operate the service with reasonable skill and care and target high availability, but do not guarantee uninterrupted operation. Support is provided by email at support@nezmaro.com.

10. Intellectual property

The control-plane software and branding are ours or our licensors'. ERPNext is open-source software used under its own license. You retain all rights to your data.

11. Disclaimer and liability

The service is provided "as is". To the maximum extent permitted by law, our aggregate liability for any claims arising from the service is limited to the fees you paid in the twelve months preceding the claim. We are not liable for indirect or consequential damages, including loss of profits or data beyond our backup obligations in section 7.

12. Changes

We may update these terms; material changes will be announced by email or in-app at least 14 days before taking effect. Continued use after that constitutes acceptance.

13. Governing law

These terms are governed by the laws of the Arab Republic of Egypt, without affecting mandatory consumer protections of your country of residence.
